1. Definitions

​

• Verse MVOS: The metaverse-native operating system providing the foundation for all Microtron AI services.

• Verse AI: Multimodal artificial intelligence engine integrated within MVOS.

• Versona: A personalized digital twin/avatar built and customized by the User.

• Sensables: Connected hardware and wearables (ExoFlex, NoteBuds, iView Smart Glasses, Sensabands, etc.).

• Client Data: Any data, content, or materials submitted, uploaded, or generated by the User within the Services.

• Enterprise Subscriber: A business, institution, or government entity using the Services at scale.

2. Eligibility & Accounts

Users must be at least 13 years of age (or the minimum age in their jurisdiction).

Enterprise contracts require an authorized representative.

Users are responsible for maintaining the confidentiality of account credentials.

Provider may suspend accounts in case of suspected fraud, abuse, or breach of Terms.

4. License & Use Rights

Provider grants Users a limited, non-exclusive, non-transferable license to access and use the Services.

Users retain ownership of their data, Versona, and content, while granting Provider a limited license to process, store, and transmit solely for delivering the Services.

Reverse engineering, reselling, or unauthorized distribution of the Services is prohibited.

5. Data Sovereignty & Privacy

• Users own their data. Microtron AI acts only as a steward.

• All data is encrypted, regionally stored, and portable upon request.

• No personal data will be sold to third parties.

• Users may request access, deletion, or export of their data at any time (see Privacy Policy).

6. Service Availability

Provider aims for 99.9% uptime, excluding scheduled maintenance.

Certain features may require internet connectivity, third-party integrations, or compatible hardware.

Provider is not responsible for downtime caused by external networks, hardware failures, or force majeure events.

7. User Responsibilities

Users agree to:

• Use the Services in compliance with applicable laws and regulations.

• Not misuse Services for illegal, harmful, or exploitative purposes.

• Ensure all data shared is owned, licensed, or legally permissible.

• Respect the intellectual property of others.

8. Enterprise Terms

For business, industrial, and institutional clients:

• Service Level Agreements (SLAs), compliance standards (GDPR, HIPAA, PCI-DSS), and support may be tailored by contract.

• Enterprise subscribers may deploy private, sovereign instances of Verse AI and MVOS.

9. Intellectual Property

• Provider retains ownership of all technology, software, logos, and trademarks of Verse MVOS.

• Users retain full rights to their original content and Versona creations.

• Feedback provided to Microtron AI may be used to improve services without compensation.

10. Limitation of Liability

• Provider shall not be liable for indirect, incidental, or consequential damages.

• Direct liability shall not exceed the amount paid by the User in the last 12 months of subscription.

• AI outputs are advisory in nature; Users remain responsible for decisions made using Verse AI or Versona recommendations.

11. Termination

• Users may cancel at any time; services remain active until the end of the billing cycle.

• Provider may suspend or terminate accounts for breach of Terms, illegal activity, or non-payment.

• Upon termination, data can be exported upon request.

12. Modifications

• We may update these Terms periodically to reflect new features, regulatory requirements, or operational practices.

• Users will be notified in advance of material changes.

13. Governing Law & Dispute Resolution

• These Terms are governed by the laws of [Tampa, Florida United States of America].

Disputes will be resolved through binding arbitration or mediation, unless prohibited by law.
